By accessing or using any service, application, or website operated by GDF Innovations ('Company', 'we', 'us', or 'our'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our services, including but not limited to our websites, web applications, and mobile applications.

GDF Innovations provides AI-powered web and mobile application development services, interactive webpage creation, and custom AI solutions. Our portfolio includes, but is not limited to: BoltAI Family, MyCellMate AI, AI Persona Pro, CineAI, and ContractorPro AI.

We reserve the right to modify, suspend, or discontinue any service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

Some of our services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You must be at least 13 years of age to use our services. Users under 18 must have parental or guardian consent.

We reserve the right to terminate accounts, remove content, or cancel services at our discretion if we believe you have violated these Terms.

All content, features, and functionality of our services — including but not limited to text, graphics, logos, icons, images, audio clips, and software — are the exclusive property of GDF Innovations or its licensors and are protected by applicable intellectual property laws.

For custom development projects: upon full payment, clients receive full ownership of the custom code and assets developed specifically for their project. GDF Innovations retains the right to use general methodologies, frameworks, and non-proprietary components in future projects.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from our services without our prior written consent.

For development services, payment terms are specified in individual project agreements. Standard terms require a 50% deposit before work commences and 50% upon project completion and delivery.

All prices are in US Dollars unless otherwise specified. Payments are non-refundable except as expressly stated in a project agreement or as required by applicable law.

We reserve the right to change our pricing at any time. Price changes will not affect projects already under contract.

You agree not to use our services to: (a) violate any applicable law or regulation; (b) infringe upon the intellectual property rights of others; (c) transmit any harmful, offensive, or illegal content; (d) engage in any form of automated data collection without our express written consent; (e) attempt to gain unauthorized access to any part of our services or systems; (f) use our AI tools to generate content that is defamatory, discriminatory, or violates the rights of any individual.

OUR SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GDF INNOVATIONS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. AI-generated content may contain inaccuracies and should be reviewed before reliance.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GDF INNOVATIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
